Our practice areas are specifically related to business law and encompass a broad range of legal services, including advisory work, negotiations, structuring transactions and dispute resolution. Our partners have extensive experience with legal issues affecting businesses of all sizes across a wide range of industries, which translates into a deep understanding of the key issues that matter.

With dual capabilities in Luxembourg and Belgian law, and five working languages, most of our firm’s work involves an international component. All partners have significant experience working on international transactions. In addition, through our extensive international network we regularly assist our clients with their business activities abroad, as well as international clients who seek our advice on legal issues in Luxembourg or in Belgium.

Core practice areas:

We advise our clients on typical corporate questions and issues relating to the life cycle of company, spanning from its incorporation to its liquidation, as well as the relationships between shareholders of a company, including the negotiation and drafting of shareholders’ agreements and resolving shareholder disputes.

We are also involved in M&A transactions at all stages of the process, from executing precontractual agreements, such as non-disclosure agreements (NDA’s) or letters of intent (LOI’s), to the closing or post-acquisition restructuring, as the case may be.

In addition, we advise on setting-up alternative investment structures in Luxembourg such as SIFs, SICARs or more recently, SLPs and RAIFs, and the issuance by the latter of shares and bonds in connection with either private placements or public offerings.

We advise clients on structuring their contractual relationships with their suppliers or clients during the negotiation, conclusion and execution of contracts, or during or after their termination, as well as possible related litigation.
 

We regularly assist our clients in drafting or reviewing various partnership agreements, distribution agreements, business and service contracts, general terms and conditions and all types of commercial leases (including office space).

We assist our clients, as lender or borrower, in corporate finance transactions and structuring collateral, including the issuance of opinions related to their capacity to enter into such transactions and/or to the enforceability of contract(s).

Our practice also encompasses bankruptcy, insolvency and voluntary liquidation proceedings, as well as debt refinancing.

We advise and assist our clients, both employers and individuals, in relation to the negotiation, drafting and enforcement of work contracts, compensation schemes, or termination agreements, following either a dismissal or a resignation.

We also represent our clients in court with respect to employment litigation and disputes mainly in relation to issues arising out of the termination of the employment relationship.

We advise and represent our clients in all types of civil, commercial, administrative and employment law related disputes, litigation and arbitration proceedings. We regularly act before local courts in both Belgium and Luxembourg, and have experience in domestic and international arbitration proceedings organized in accordance with the rules of the ICC, CEPANI or on ad hoc basis.
